GLOBAH Marketplace User Agreement and Inter-User Transaction Disclaimer

PLEASE READ THIS AGREEMENT CAREFULLY. By creating an account, accepting this Agreement, publishing a listing, contacting another user, or otherwise using GLOBAH, you acknowledge that you have read, understood, and agreed to be bound by these terms to the fullest extent permitted by applicable law.
1. Parties, Scope, and Platform Role
This Agreement governs access to and use of GLOBAH, an online classified-advertising and marketplace platform operated from Córdoba, Argentina (“GLOBAH”, “we”, “us”, or “the Platform”). GLOBAH provides technology that allows independent users to publish listings, discover listings, communicate, and potentially enter into transactions with one another.
Unless GLOBAH expressly states otherwise in writing for a specific service, GLOBAH is not the seller, buyer, owner, manufacturer, landlord, tenant, employer, employee, broker, agent, insurer, guarantor, escrow provider, payment processor, carrier, authenticator, appraiser, or representative of any user or of any goods, services, properties, employment opportunities, or other subject matter advertised by users. Any transaction is made directly between the users involved.
2. Independent User-to-User Transactions
Users are solely responsible for negotiating, verifying, documenting, performing, and completing their transactions. GLOBAH does not control and does not guarantee the identity, legal capacity, authority, solvency, reliability, conduct, statements, listings, goods, services, payments, delivery, title, ownership, legality, quality, safety, condition, authenticity, availability, suitability, or performance of any user or listing.
Users must perform their own due diligence before transferring money, property, information, credentials, documents, or other value. Users should independently verify identity, ownership, condition, permits, licenses, registrations, contractual authority, and any other fact material to a proposed transaction.
3. Fraud, Scams, Misuse, and Criminal Conduct
GLOBAH prohibits fraud, impersonation, deceptive conduct, phishing, money laundering, trafficking in unlawful goods, stolen-property transactions, false advertising, unlawful discrimination, threats, harassment, and any use of the Platform that violates applicable law or the rights of another person.
GLOBAH does not warrant that every user or listing is genuine and cannot guarantee that fraud, scams, misrepresentation, identity theft, non-payment, chargebacks, counterfeit goods, stolen goods, unsafe products, non-delivery, or other misconduct will never occur. To the fullest extent permitted by law, each user assumes the risks inherent in dealing with other independent users and agrees to use appropriate caution and independent verification.
4. User Accounts and Information
Users must provide accurate, current, and complete registration and contact information, safeguard account credentials, and promptly report unauthorized access. Each user is responsible for activity performed through that user’s account to the extent permitted by applicable law. GLOBAH may require email verification, security checks, identity-related information, or additional verification where reasonably necessary for platform safety or legal compliance.
5. Listings and User Content
The user who publishes a listing is solely responsible for its title, description, photographs, price, location, legal compliance, accuracy, intellectual-property rights, and all claims made in connection with it. A user may publish only content and offers that the user has the legal right and authority to publish.
By uploading content, the user grants GLOBAH a worldwide, non-exclusive, royalty-free license to host, reproduce, resize, format, display, distribute, and technically process that content solely as reasonably necessary to operate, promote, secure, and improve the Platform and its listings. The user retains ownership of the user’s content subject to this license.
6. Location and Map Information
Map coordinates, addresses, city names, geocoding results, and location information may be supplied by users or third-party mapping/geocoding services, including OpenStreetMap-related services. Such information may be approximate, outdated, incomplete, or inaccurate. Users must not rely on map placement as proof of identity, ownership, physical presence, or the exact location of any person, property, product, or service.
7. Payments, Deposits, Shipping, and Off-Platform Communications
Unless a payment or escrow service is expressly identified as being provided by GLOBAH, payments and transfers are made outside GLOBAH and solely at the users’ risk. Users are responsible for selecting secure payment and delivery methods, retaining evidence, verifying recipients, and complying with tax, customs, consumer, banking, currency-control, and other applicable obligations.
GLOBAH is not responsible for money or property sent directly to another user, including deposits, reservations, advances, wire transfers, cryptocurrency transfers, gift cards, cash payments, or any other transfer of value.
8. No Professional, Legal, Financial, Technical, or Safety Advice
Information published by users is not advice from GLOBAH. Users must obtain independent professional advice where appropriate, including for legal, tax, financial, medical, employment, real-estate, vehicle, technical, import/export, insurance, or safety matters.
9. Moderation, Suspension, and Removal
GLOBAH may, but is not obligated to, review, moderate, reject, pause, remove, or restrict listings or accounts when reasonably necessary to enforce platform rules, respond to reports, protect users, comply with law, protect third-party rights, investigate suspected abuse, or maintain platform integrity. GLOBAH’s decision to permit a listing or account to remain visible is not an endorsement, certification, verification, or guarantee.
10. Third-Party Services and Links
GLOBAH may rely on or link to third-party services, including maps, social networks, messaging services, email providers, analytics, hosting, and external websites. GLOBAH does not control those third parties and is not responsible for their availability, security, content, policies, or acts and omissions.
11. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GLOBAH AND THE PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GLOBAH SHALL NOT BE LIABLE FOR LOSSES ARISING FROM OR RELATED TO USER-TO-USER TRANSACTIONS, FRAUD, SCAMS, MISREPRESENTATION, NON-PAYMENT, NON-DELIVERY, PROPERTY DAMAGE, PERSONAL DISPUTES, USER CONTENT, THIRD-PARTY SERVICES, UNAUTHORIZED ACCOUNT USE, OR RELIANCE ON A LISTING OR MAP LOCATION.
TO THE FULLEST EXTENT PERMITTED BY LAW, GLOBAH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA, LOSS OF BUSINESS, OR LOSS OF OPPORTUNITY. WHERE LIABILITY CANNOT LAWFULLY BE EXCLUDED, GLOBAH’S AGGREGATE LIABILITY ARISING OUT OF THE PLATFORM SHALL BE LIMITED TO THE GREATER OF (A) THE AMOUNT THE CLAIMING USER PAID DIRECTLY TO GLOBAH FOR THE RELEVANT SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD 100, EXCEPT WHERE A DIFFERENT LIMIT IS REQUIRED BY MANDATORY LAW.
13. Release Regarding Disputes Between Users
To the fullest extent permitted by applicable law, users agree that disputes concerning a transaction, listing, payment, delivery, product, service, property, employment relationship, or communication between users are disputes between those users. Users release GLOBAH from claims arising solely from acts or omissions of another independent user, except to the extent such release is prohibited by mandatory law or the claim arises from GLOBAH’s own legally non-excludable conduct.
14. Indemnification
To the fullest extent permitted by law, a user agrees to defend, indemnify, and hold harmless GLOBAH and its operators, personnel, contractors, and service providers from third-party claims, liabilities, damages, penalties, losses, and reasonable costs arising from that user’s unlawful conduct, listings, content, infringement of third-party rights, breach of this Agreement, or transaction with another user. This clause does not apply to the extent prohibited by mandatory consumer or other applicable law.
15. Taxes, Permits, and Regulatory Compliance
Each user is independently responsible for determining and complying with taxes, invoicing obligations, registrations, licenses, permits, consumer rules, employment rules, customs requirements, product-safety rules, professional regulations, and any other legal obligations applicable to the user or the proposed transaction.
16. Intellectual Property and Notices
Users must not upload content that infringes trademarks, copyrights, patents, privacy rights, publicity rights, or other third-party rights. Rights holders may contact GLOBAH at info@globah.com with sufficiently detailed information to identify the content and the claimed right.
17. Electronic Communications and Evidence
Users consent to receiving account, verification, security, moderation, and transactional communications electronically at the contact information associated with the account. Subject to applicable evidentiary law, platform logs, acceptance records, timestamps, email-verification records, and security records may be used to document account activity and acceptance of this Agreement.
18. Mandatory Consumer and Other Non-Waivable Rights
Nothing in this Agreement excludes, limits, or waives rights or liabilities that cannot legally be excluded, limited, or waived. If a user qualifies as a consumer under mandatory law, applicable consumer-protection rights, venue rules, and remedies remain available notwithstanding any provision of this Agreement.
19. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Argentine Republic. Subject to any mandatory consumer-protection, venue, or jurisdiction rules that apply to a particular user or dispute, disputes involving GLOBAH shall be submitted to the competent courts located in the City of Córdoba, Province of Córdoba, Argentina.
20. Changes to this Agreement
GLOBAH may update this Agreement to reflect changes in the Platform, law, security requirements, or business practices. Material changes may require renewed acceptance. The version and effective date displayed on this page identify the terms currently presented for acceptance.
21. Severability, No Waiver, and Entire Agreement
If any provision is held invalid or unenforceable, it shall be enforced to the maximum lawful extent and the remaining provisions shall remain in effect. Failure to enforce a provision is not a waiver. This Agreement, together with any additional terms expressly incorporated by reference, constitutes the agreement governing the matters covered here.
